    2018 OFFICIAL RULES

    NO PURCHASE NECESSARY TO ENTER OR WIN.

    CONTEST ENTRY PERIOD: The “Make It Mindful Contest” (“Contest”) begins at 9:00 AM Eastern Time (“ET”) on October 1, 2018 and 11:59 PM ET on October 15, 2018.

    ELIGIBILITY: The “Make It Mindful Contest” (“Contest”) is open to individuals who are: legal residents of the United States (including the District of Columbia), and Canada, who have reached the age of majority in the jurisdiction in which they reside at time of entry. Residents of Puerto Rico, all U.S. territories, possessions and overseas military installations are not eligible to enter or win. Employees, representatives and agents of Sodexo Operations, LLC (for locations in the United States and the District of Columbia, only) and Sodexo Canada, Ltd. and its affiliated companies (for locations in Canada, except for locations in Quebec for which Sodexo Quebec Limittee would be the Sponsor) (the “Sponsors”), Ventura Associates International LLC (the “Administrator”), the Judging Panel (defined below), and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and any other individual or company involved in the development or execution of the Contest (“Contest Entities”), and members of their immediate families (parent, child, sibling and the respective spouses of the employees and all of the aforementioned) of same households of each, whether or not related, are not eligible to enter or win. This is a contest of skill (not a lottery or game of chance). All federal, state, provincial and local laws and regulations apply. Void in Puerto Rico, all U.S. territories, possessions, overseas military installations and where prohibited by law.

    HOW TO ENTER: To enter, complete the online entry form found at www.mindful.sodexo.com/makeitmindful (“Website”) and follow all onscreen instructions to select 10 ingredients/toppings from the list of ingredients provided on Website to create a virtual image of your custom taco (“creation”) and provide a brief statement of 200 words (or less) explaining the story behind your creation and why you want us to make it Mindful. Upon submitting your creation and statement (referred to hereafter as “Entry” or “Entries”), your Entry will be eligible for judging. All Entries must be received by 11:59 PM ET on October 15, 2018. You may submit more than one Entry during the Contest Entry Period, but each Entry must be unique and submitted separately. Entries containing more than one Recipe will not be considered and will be disqualified. All Entries and requests become the property of Sponsors and will not be acknowledged or returned.

    ENTRY: Your Entry must comply with the following and by entering you represent and warrant and agree that:

    • The Entry is original and created by you and not copied from any other material and does not infringe upon the rights of any third party;
    • Your Entry has not been previously published or submitted in any other contest or competitions and/or to any media, including, without limitation, any books and/or magazines; and
    • You will hold harmless the Contest Entities and their respective officers, directors, employees, divisions, affiliates, subsidiaries, advertising and promotional agencies from any claim by any third party relating to any rights in the Entry.

    Contest Entities are not responsible for lost, late, damaged, illegible, garbled, inaccurate, misdirected, undelivered, delayed, or incomplete Entries, or Entries that cannot be processed and/or judged due to phone, network, electronic or computer hardware or software failure, or technical failures of any kind or for mass entries or entries generated by a script, macro or use of any automated, robotic, repetitive, programmed or similar entry methods or agents to participate is prohibited and will result in disqualification. Entry materials that have been tampered with or altered will be voided.

    By entering you waive any moral rights in and to your Entry, and grant to Contest Entities and any organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Contest, the perpetual, fully-paid, irrevocable, non-exclusive license to reproduce, prepare derivate works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, otherwise use, and permit others to use and perform throughout the world the Entry in any manner, form, or format now or hereinafter created, including online, print or other media advertisement or website, and for any purpose, including, but not limited to, advertising or promotion of Contest Entities and Contest all without further consent from or payment to you. Entries may be published and posted online but you agree that the Sponsors have no obligation to post or publish your Entry, that all such postings or publication, if any, will be in Sponsors’ sole discretion and that the posting or publication of an Entry does not guarantee the Entry is a finalist or the winner. Without limiting the generality of the foregoing, you are agreeing and acknowledging that the Entry may be posted and shared by other others in various social media outlets and the Contest Entities are not responsible for any unauthorized use of Entries by third parties.

    Each entrant agrees that many Entries may be competitive with, similar or identical in theme, format and/or other respects to your Entry, and entrant waives any and all claims he/she may have had, may have, and/or may have in the future that any Entries accepted, reviewed, judged and/or used by the Contest Entities may be similar to or the same as your Entry.

    Sponsors reserve the right to disqualify any Entry for any reason, in their sole and absolute discretion. Sponsors are under no obligation to disclose why an Entry has been disqualified other than the Entry was ineligible under these Official Rules.

    THERE ARE TWO (2) ROUNDS OF JUDGING IN THIS CONTEST. 

    Round 1:  A panel consisting of personnel from the Sponsors (“Judging Panel”) will determine the top four (4) scoring Entries based on the following weighted judging criteria: (i) potential of Recipe to produce good taste (30%); (ii) potential to meet Sodexo’s nutrition criteria (30%); (iii) potential/feasibility for production and distribution (25%); and (iv) originality and clarity of Entry’s statement (15%). The top four (4) scoring Entries in Round 1 will advance to Round 2 as finalist Entries (“Finalists”). Sponsors and Judging Panel reserve the right to advance fewer than four (4) Entries to Round 2 in its sole discretion. All Finalists will be determined on or about October 29, 2018.

    Round 2: All Finalists will be judged by the Judging Panel and posted on Website for viewing and for voting by the public who will have the opportunity to vote for his or her favorite Finalist by following all onscreen instructions. Voting: The voting will commence at 9:00:00 AM ET on December 4, 2018 and conclude at 4:59:59 PM ET on December 21, 2018 (the “Voting Period”). Sponsors are not responsible for any undeliverable votes. Voting Limit: three (3) votes per person per day allowed. Votes received in excess of the stated limitation will be voided. Voting generated by script, macro or other automated means or with the intent to impair the integrity of the rating process, as determined by the Sponsors in their sole discretion, will be void. Entrants are prohibited from obtaining votes by any artificial and/or unethical means, paid advertising regardless of media, fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to prospective voters, including exchanging/bartering of votes as determined by the Sponsors in their sole discretion.

    Finalists from Round 2 will be scored by the Judging Panel taking into account the following criteria: (i) potential of Recipe to produce good taste (30%); (ii) potential to meet Sodexo’s nutrition criteria (25%); (iii) potential/feasibility for production and distribution (20%); (iv) originality and clarity of Entry’s statement (5%); and (v) voting outcome (20%). At the end of the Voting Period, the Finalist with the highest overall score in Round 2 will be declared the grand prize winner (“Winner”) subject to verification.

    TIES: In the event of a tie in Round 1, the Entry from among the tied Entries with the highest score for potential of Recipe to produce good taste and to meet Sodexo’s nutrition criteria will be advanced to Round 2. In the event of a further tie in Round 1, the Entry from among the tied Entries with the highest score for originality will be advanced to Round 2. In the event of a further tie in Round 1, the tied Entries will be re-judged using the aforementioned Round 1 judging criteria by the Judging Panel who will determine which Entry from among the tied Entries will advance to Round 2.

    In the event of a tie in Round 2, the Entry from among the tied Entries with the highest score in Round 2 for potential of Recipe to produce good taste and to meet Sodexo’s nutrition criteria will win. In the event of a further tie in Round 2, the Entry from among the tied Entries with the highest score in Round 2 for originality will win. In the event of further ties in Round 2, the Judging Panel will make the final determination as to which Entry will win the Grand Prize on or about 5:00 PM ET on or about February 4, 2019.

    PRIZES: One (1) Grand Prize: Winner will receive one (1) year of free lunches (determined as: $10 USD per day X 5 days X 50 weeks = Two Thousand Five Hundred Dollars ($2,500.00 USD). Three (3) Finalists Prizes: Each remaining Finalist will receive one (1) month of free lunches (determined as: $10 USD per day X 5 days X 4 weeks = Two Hundred Dollars ($200.00 USD) per prize). Prize will be awarded in local currency as a Sodexo gift card (“Gift Card”). In the case of a Gift Card issued in Canadian dollars, the exchange rate applicable to the US dollar value shall be determined in Sponsors’ sole discretion.  Gift Card may not be redeemed for cash and are subject to the terms and conditions associated with redemption instructions. Sponsors are not responsible for lost, late, misdirected, damaged, or any stolen Gift Card. All expenses in claiming and redeeming prizes are the responsibility of Winner and any Finalist. Arrangements for the fulfillment of any prize will be made by Sponsors. All federal, state, provincial, local and other taxes, costs and expenses relating to the use, acceptance and possession of any prize are the sole responsibility of the Winner and any Finalist. Prize is non-transferable and no substitution by Winner or by any Finalist is allowed. Sponsors reserve the right to substitute any prize in their sole discretion.

    NOTIFICATION: Each Finalist will be notified by email on or about October 22, 2018. If a Finalist is from the 50 United States (including the District of Columbia, he/she will be required to execute and return an Affidavit of Eligibility and Liability and Publicity Release (“Affidavit/Release”) within five (5) days of date specified on notification or he/she will be disqualified, and an alternative winner will be determined at Sponsors’ sole discretion. If a Finalist is from Canada, he/she will be required to complete, sign and return a Declaration of Eligibility, Liability Release and Publicity Release (collectively, “Declaration”) within five (5) business days of date specified on notification. If Affidavit or Declaration is returned as undeliverable, or if a Finalist cannot accept or receive the prize for any reason or if a Finalist is disqualified or found to be ineligible, that person will forfeit all rights to the prize won and an alternate Finalist may be determined at Sponsors’ sole discretion. Sponsors reserve the right to modify the notification procedures in connection with the selection of an alternate Finalist, if any. In addition, if the Grand Prize Winner originates from the United States or the District of Columbia, in order to claim the prize he/she will be required to furnish his/her Social Security number to the Administrator for tax reporting purpose and an IRS Form 1099 will be filed in the name of the Winner for the $2,500.00 value of the prize. If the Grand Prize Winner resides in Canada, withholding tax maybe required under applicable law. Each prize will be awarded within thirty (30) days after the Voting Period is over. Winning and acceptance of prize constitutes permission (except where prohibited by law) to use Grand Prize Winner’s and each Finalist’s name, photograph, hometown, likeness, & prize won (all at Sponsors’ discretion) for future advertising, publicity in any and all media now or hereafter devised throughout the world, in perpetuity, without additional compensation, notification, release, or permission.

    RELEASES: Participating entrants agree to release Contest Entities as well as their respective employees, officers, directors and agents of each, from all claims and liability relating to their participation, acceptance and use or misuse of any prize.  To the extent permitted by law, Grand Prize Winner and Finalists assume all liability for any injury or damage caused or claimed to be caused, by participation in this Contest or use or redemption of any prize. Sponsors are not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prizes.

    In the event of a dispute over the identity of an online entrant, the disputed Entry will be disqualified in the sole discretion of the Sponsors.  The Contest Entities (as defined above) are not responsible for error, omission, interruption, deletion, defect, delay in operations or transmission, transaction processing, theft, destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, phone lines, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive Entry information by Sponsors or their designated agents on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or any injury or damage to entrant’s or any other person’s cell phone or computer related to or resulting from participating in the Contest or inaccurate Entry information, whether caused by equipment, programming used in this Contest, human processing error, or otherwise. By participating in the Contest, entrants (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of the Sponsors and/or the Judging Panel, which are final and binding in all matters relating to the Contest. Failure to comply with these Official Rules may result in disqualification from the Contest. The Sponsors reserve the right to permanently disqualify from any contest they sponsor any person they believe have intentionally violated these Official Rules.

    The Sponsors and/or Contest Entities reserve the right to modify, suspend, or terminate the Contest if it becomes technically corrupted, subject only to the Regie des alcools des courses et des jeux with respect to legal residents of Quebec. In such event, prizes will be awarded (if applicable) from eligible Entries received prior to this date of termination.

    Personal information submitted by the entrant will be used to administer the Contest and to fulfill prizes. Personal information will be stored on servers located in the United States and potentially other jurisdictions, and will be subject to the laws and authorities of the United States and other countries.  You may have the option to opt in to receive marketing communications; your decision to receive. Electing not to receive promotional emails will not affect your chances of winning.  You may unsubscribe at any time.

    Legal Warning: ANY ATTEMPT BY AN individual, whether or not an ENTRANT, TO DELIBERATELY DAMAGE, destroy, tamper or vandalize OR interfere with the OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS and THE SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES and diligently pursue all remedies against ANY SUCH individual TO THE FULLEST EXTENT PERMITTED BY LAW.

    FOR QUEBEC RESIDENTS ONLY: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

    ARBITRATION: To the extent permitted by applicable law, as a condition of entering the Contest, each entrant agrees that (1) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses, (2) all causes of action arising out of or connected with this Contest or any prize awarded, shall be resolved individually, without resort to any form of class action and shall be resolved exclusively by arbitration under the rules of the American Arbitration Association, and (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorney’s fees.
